These Terms of Service (“Terms”) govern your access to and use of the Nodal platform and services (“Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts at our discretion for violations of these Terms or to protect the security or integrity of the Service.
3. Use of the Service
You may use the Service to create, manage, and distribute static and dynamic QR codes. You retain all ownership rights to content you submit. You agree not to:
- Use the Service for unlawful, harmful, or abusive purposes
- Interfere with or disrupt the Service
- Attempt to access areas or data you are not authorized to access
- Use the Service to send or link to malicious, deceptive, or harmful content
We may modify, suspend, or discontinue any part of the Service at any time without liability.
4. QR Codes and Linked Content
You are solely responsible for the URLs, content, and destinations linked to your QR codes. You must ensure your usage complies with applicable laws, including privacy, data protection, and consumer protection laws relevant to your audience. We do not monitor or review the content you link to, but we may remove or disable access to content that we determine, in our discretion, violates these Terms or poses risk.
5. Dynamic QR Codes
Dynamic QR code functionality may assign a unique value or parameter to each scan. You are responsible for determining how such values are handled in your systems. We do not associate dynamic scan values with personally identifiable information unless such information is independently provided by you to us.
6. Service Plans, Billing, and Payment
Paid plans require a valid payment method. By subscribing, you authorize us or our payment processor to charge fees according to your selected plan. Fees are non‑refundable except where required by law. We may change pricing or plan features with notice. Continued use of the Service after changes constitutes acceptance. Failure to pay may result in account suspension or deletion.
7. Intellectual Property
The Service, including its software, design, trademarks, and related intellectual property, is owned by us or our licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service.
8. Privacy
Our collection and use of information is described in our Privacy Policy. By using the Service, you consent to those practices.
9. Data and Storage
We do not guarantee that content you store or generate using the Service will be preserved. You are responsible for maintaining backups of your data. We may impose limits on storage, bandwidth, or usage to ensure stable operation of the platform.
10. Third-Party Services
The Service may integrate with third-party tools or providers (e.g., payment processors, hosting services). We are not responsible for the actions, content, or availability of third parties.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law: We are not liable for indirect, incidental, punitive, or consequential damages. Our total liability for any claim arising from the Service will not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, the limits apply to the fullest extent allowed.

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses arising from your use of the Service, your content, your QR codes, or your violation of these Terms.
14. Termination
You may stop using the Service at any time. We may terminate or suspend your access at any time, with or without notice, for any reason, including violations of these Terms or operational needs. Upon termination, your access to stored data or QR code functionality may cease.
15. Changes to These Terms
We may modify these Terms at any time. Updated versions will be posted with a revised “Last updated” date. Continued use of the Service after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of Delaware. Any disputes will be resolved exclusively in the courts of that jurisdiction.
